1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Pro Realty Imaging ("Company," "we," "us," or "our") governing your access to and use of our website (www.prorealtyimaging.com), mobile applications, and professional photography services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Services Description

Pro Realty Imaging provides professional real estate photography and videography services, including but not limited to:

• HDR enhanced interior and exterior photography
• Aerial drone photography and videography
• Property walkthrough videos and promotional content
• 3D virtual tours and floor plans
• Twilight photography
• Virtual staging services
• Online booking, gallery management, and file delivery systems

3. User Accounts and Registration

3.1 Account Creation

To access certain features of our Services, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and current.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account.

4. Booking and Service Terms

4.1 Service Requests

When you submit a service request or booking through our platform, you are making an offer to purchase services at the quoted price. We reserve the right to accept or decline service requests based on availability, location, property type, or other factors.

4.2 Pricing and Payment

• All prices are in U.S. Dollars and subject to change without notice
• Payment is due at the time of booking or as specified in your service agreement
• We accept credit cards, debit cards, and other payment methods as indicated
• All payments are processed securely through third-party payment processors
• You are responsible for all applicable taxes and fees

4.3 Cancellation and Rescheduling

4.4 Property Access and Preparation

You agree to:

• Ensure the property is accessible at the scheduled appointment time
• Prepare the property according to our pre-listing checklist
• Remove vehicles from driveways and visible areas
• Secure pets during the photography session
• Notify us of any hazards or special considerations

5. Intellectual Property Rights

5.1 Ownership of Photographs

Pro Realty Imaging retains full copyright ownership of all photographs, videos, and creative works produced under this agreement. Upon full payment, you are granted a non-exclusive, royalty-free license to use the delivered media for the following purposes:

• Marketing and sale of the photographed property
• Posting on MLS, real estate websites, and social media
• Print and digital marketing materials related to the property
• Portfolio use with attribution (for real estate professionals)

5.2 Prohibited Uses

You may NOT:

• Resell, redistribute, or sublicense the photographs
• Modify, alter, or create derivative works without permission
• Remove watermarks or copyright notices
• Use images for properties other than the one photographed
• Transfer rights to third parties without written consent

5.3 Portfolio and Marketing Rights

We reserve the right to use photographs from your project in our portfolio, website, social media, and marketing materials unless you explicitly opt-out in writing. We will not include personally identifiable information without your consent.

6. Delivery and Turnaround Times

Standard turnaround time is 24-48 hours for photography and 48-72 hours for video services from the date of the shoot. Rush delivery may be available for an additional fee. Delivery is made via digital download link or cloud storage platform (Google Drive, Dropbox). Files remain available for download for 90 days unless extended storage is requested.

7. Warranties and Disclaimers

7.1 Service Quality

We strive to deliver high-quality professional photography. If you are unsatisfied with the delivered images due to technical defects (not creative differences), we will make reasonable efforts to address legitimate concerns through re-editing or, in rare cases, a re-shoot.

7.2 Weather and Circumstances

We are not liable for delays or inability to perform services due to weather conditions, property access issues, or other circumstances beyond our control. Alternative dates will be offered when possible.

7.3 Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRO REALTY IMAGING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Pro Realty Imaging and its officers, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your violation of these Terms, (b) your use of the Services, (c) your violation of any third-party rights, or (d) any misrepresentation made by you.

10. Drone Operations and FAA Compliance

All drone operations are conducted by FAA Part 107 certified pilots in compliance with federal, state, and local regulations. You represent that you have obtained necessary permissions from property owners and that drone photography is permitted at the location. We reserve the right to cancel drone services if weather, airspace restrictions, or safety concerns arise.

11. Mobile Application Terms

11.1 License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to download and use our mobile applications solely for accessing our Services in accordance with these Terms.

11.2 App Store Terms

Your use of our mobile applications is also governed by the applicable app store's terms of service (Apple App Store, Google Play Store). In the event of a conflict between these Terms and the app store terms, the app store terms shall prevail regarding app-specific matters.

11.3 Updates and Maintenance

We may release updates, patches, or new versions of our applications. You agree to install updates to maintain compatibility and security. We may temporarily suspend access for maintenance or improvements.

12. Termination

We reserve the right to suspend or terminate your account and access to the Services at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your license to use the Services will immediately cease. Provisions that by their nature should survive termination (including intellectual property rights, disclaimers, and limitations of liability) shall remain in effect.

13. Dispute Resolution

13.1 Informal Resolution

If you have a dispute with us, you agree to first contact us at info@prorealtyimaging.com to attempt to resolve the matter informally within 30 days.

13.2 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Connecticut, United States, without regard to its conflict of law principles.

13.3 Arbitration

Any dispute arising from or relating to these Terms or the Services that cannot be resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules. The arbitration shall take place in Connecticut. Judgment on the arbitration award may be entered in any court having jurisdiction.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Pro Realty Imaging regarding the Services.

14.2 Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or through the app. Your continued use of the Services after changes constitutes acceptance of the modified Terms.

14.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14.4 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
